ZYVENTRA shall not be liable for any delay or failure to perform its obligations under these Terms or any SOW to the extent such delay or failure is caused by events beyond ZYVENTRA's reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, government actions, pandemics, cyberattacks, or failures of third-party infrastructure providers. ZYVENTRA will notify the Client promptly and take reasonable steps to resume performance as soon as practicable.
18.1 Governing Law These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions.
18.2 Dispute Resolution In the event of any dispute, the parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days of written notice, either party may pursue resolution through binding arbitration under the rules of the American Arbitration Association (AAA), with proceedings conducted in Fort Myers, Florida, USA.
18.3 Jurisdiction For any matters not subject to arbitration, both parties irrevocably consent to the exclusive jurisdiction of the state and federal courts located in Lee County, Florida, USA.
These Terms, together with any applicable SOW, NDA, and the Privacy Policy, constitute the entire agreement between ZYVENTRA and the Client with respect to the subject matter herein and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
ZYVENTRA's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
